Terms of Service

These Terms govern access to and use of CoderPool's marketplace, website, app, APIs, and related services.

1. Acceptance of Terms

By creating an account, accessing, or using CoderPool, you agree to these Terms, the Privacy Policy, and the Cookie Policy. If you do not agree, do not use the service.

2. Eligibility and Authority

You confirm that you have legal capacity to enter into binding agreements and, if acting for an entity, authority to bind that entity to these Terms.

3. CoderPool Service Model

CoderPool is a talent marketplace that facilitates discovery, matching, communication, and workflow support between clients and developers. Unless explicitly stated in a separate written agreement, CoderPool is not an employer, staffing agency of record, or legal representative of either party.

4. Account Registration and Security

You must provide accurate information, maintain it up to date, and protect account credentials. You are responsible for activities under your account and must promptly notify us of suspected unauthorized access.

5. Profiles, Listings, and Submissions

You are solely responsible for profile data, job postings, proposals, and communications submitted on the platform. Content must be truthful, lawful, and non-misleading.

6. Prohibited Conduct

You may not use the service for unlawful, abusive, deceptive, discriminatory, infringing, malware-related, scraping-heavy, or security-compromising behavior. Circumventing platform controls or attempting unauthorized access is prohibited.

7. Commercial Terms and Payments

Paid features, plan fees, service charges, taxes, and billing terms are shown in the applicable order flow or contract. You authorize charges for selected services. Late or failed payments may result in restricted access, suspension, or collection actions as permitted by law.

8. Client-Developer Relationship

Any contract, statement of work, or engagement between a client and developer is between those parties unless CoderPool is explicitly named as a party in writing. Each party remains responsible for legal, tax, labor, and regulatory obligations arising from its engagement model.

9. Intellectual Property and Platform License

CoderPool retains all rights in its software, branding, design, and platform assets. You grant CoderPool a limited, non-exclusive license to host, process, and display your submitted content to operate, secure, and improve the service.

10. Third-Party Services

The platform may integrate third-party services (such as identity, payments, analytics, communication, or hosting providers). Their terms and policies may apply independently.

11. Suspension and Termination

CoderPool may suspend or terminate access where reasonably necessary for breach investigation, security protection, fraud prevention, legal compliance, payment default, or platform integrity. You may stop using the service at any time, subject to outstanding obligations.

12. Disclaimers and Limitation of Liability

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CoderPool disclaims implied warranties and is not liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profit, data, goodwill, or opportunities.

13. Indemnification

You agree to defend, indemnify, and hold harmless CoderPool and its affiliates from claims, damages, liabilities, and expenses arising from your use of the service, your content, or your breach of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the law specified in your applicable contract or, absent such contract, by the law designated by CoderPool. Disputes will be resolved in the competent courts or agreed dispute forum as permitted by applicable law.

15. Changes to Terms

We may update these Terms to reflect legal, technical, or service changes. Material updates become effective when published or when otherwise communicated. Continued use after the effective date constitutes acceptance.

16. Severability and Entire Agreement

If any provision is found invalid or unenforceable, remaining provisions remain in effect. These Terms, together with referenced policies and applicable written agreements, form the entire agreement for platform use.
